Mutual Non-Disclosure Agreement

LGC - Larry Group Corp (KK) — Effective upon execution

This Mutual Non-Disclosure Agreement ("Agreement") is entered into by and between LGC - Larry Group Corp (KK) ("LGC"), a Japanese corporation, and the organization identified below ("Receiving Party"), collectively "the Parties."

1. Definition of Confidential Information

"Confidential Information" means any non-public technical, business, or financial information disclosed by either Party, including but not limited to: PLC code, network configurations, system architectures, Design Standards, SOOs, pricing, business strategies, customer lists, and proprietary algorithms.

2. Obligations

Each Party agrees to: (a) hold Confidential Information in strict confidence, (b) not disclose to third parties without written consent, (c) use only for the purpose of evaluating or using LGC AIDC services, (d) limit internal access to employees with a need to know.

3. Exclusions

Confidential Information does not include information that: (a) is or becomes publicly available, (b) was known prior to disclosure, (c) is independently developed, (d) is required to be disclosed by law.

4. Data Processing Assurance

LGC confirms that files uploaded to the AIDC platform are processed in memory and discarded after the response by default; persistent storage (Document Vault / Knowledge Base) is opt-in, admin-controlled, and deletable at any time. Customer files are not used to train AI models. See Privacy Policy for architecture details.

5. Term

This Agreement is effective for 3 years from execution. Obligations survive termination for 2 additional years.

6. Return of Materials

Upon request, each Party shall return or certify destruction of all Confidential Information. Any customer data stored in AIDC (where storage was enabled) can be deleted or purged by the customer at any time.

7. Remedies

Both Parties acknowledge that breach may cause irreparable harm. The non-breaching Party is entitled to injunctive relief in addition to other remedies.

8. Governing Law

This Agreement is governed by the laws of Japan. Disputes shall be resolved in the Tokyo District Court.
